Draft for legal review before sales begin. This document describes how the service works; it is not the result of such a review.
1. Service operator
The service is provided by Contextadmin, ul. Elbląska 30, 10-267 Olsztyn, Poland, VAT ID: PL7393219910, referred to in this document as the Operator. The same address is the address for service.
2. Subject of purchase
The Client buys a term license for ContextAdmin installed on their own server. The Operator does not host the Client’s projects, does not store their databases and has no access to the Client’s machine.
Each key has an expiry date and must be activated on the Operator’s license server. The offer does not include perpetual licenses.
3. Activation and installations
On first activation, the key is bound to the machine fingerprint. The panel renews the license lease at least once every 12 hours. Without a connection, it uses the last lease for as long as that lease is valid, which is 14 days. After the license expiry date, an additional grace period of 14 days applies.
The purchased plan determines the number of concurrent installations. The Client frees the slot of a retired machine themselves in the client panel.
After the validity period and the grace period end, the panel does not handle management requests. Data and projects remain intact, and containers can keep running.
4. License period
For the Local, Server and Team plans, the Client pays for the license monthly or yearly; with yearly payment the price equals ten months. Subscription add-ons (an additional server, an additional user) are billed for the same period as the plan. The Enterprise and Enterprise White Label plans and the Hoster Partner program are sold under an individual agreement. If the Client bought a license at a promotional price with a price guarantee, that price also applies to subsequent renewals as long as the license is renewed without interruption. The Client can cancel renewal at any time; paid access ends at the end of the paid period. Fees charged by AI model providers are not part of the subscription.
5. Prices, payments and invoices
The price list shows net amounts, to which VAT is added at the applicable rate. Payments are processed by Stripe Payments Europe. The Operator does not store payment card data.
After a successful payment, an invoice is issued and made available in the client account. A purchase with an active EU VAT number from outside Poland is settled under the reverse charge mechanism.
The subscription renews automatically. The Client can turn off renewal in the client panel; cancellation takes effect at the end of the paid period.
6. Withdrawal and refunds
A consumer has 14 days to withdraw from a distance contract. The product is digital content delivered before that period ends. Use of the key begins after the Client’s express consent and their confirmation that they are aware of losing the right of withdrawal.
Regardless of these rules, the Operator offers a money-back guarantee: within 30 days of the first license purchase, the Client may cancel without giving a reason, and the Operator refunds the full license fee to the same payment method within 14 days of the request. It is enough to send the request from the email address of the client account. The license key is then revoked. The guarantee does not cover renewals or the installation service if it has already been performed.
7. Scope of support
The time to the first substantive response depends on the plan. It is counted in business days or business hours: Monday to Friday, 9:00 to 17:00 Central European Time. It is not a guaranteed time to resolve the problem.
Support covers ContextAdmin. Maintenance of the server, the Client’s applications and the Client’s AI model subscriptions is outside the scope of this service.
8. Responsibility for the environment
- The panel executes commands with the permissions of its system account. It is intended for the machine owner and trusted users.
- Assigning projects organizes the team’s work, but it does not provide isolation at the operating system level.
- Anonymization changes data in the database; it does not cover files, logs or PDF documents.
- Monitoring checks the site’s response, not whether its content and features are correct.
- Sending backups off the host requires storage maintained by the Client. The panel handles the transfer and error alerts, without managing capacity and rotation at the destination.
- The Operator does not provide an SLA for the availability of other providers’ AI models.
9. Limitation of liability
The Operator’s contractual liability is limited to the fees paid by the Client in the 12 months before the event. The limit does not apply to damage caused intentionally or to situations in which mandatory law requires a different scope of liability.
10. Changes to the terms
We send notice of changes to these terms to the account email address 30 days in advance. A new price does not change the price of an ongoing, paid period. The fixed-price guarantee remains valid on renewals for clients who are covered by it.
11. Governing law and dispute resolution
The agreement is governed by Polish law. Disputes with businesses are resolved by the court competent for the Operator’s registered office. For consumers, court jurisdiction is determined by statutory provisions.
